We will have no responsibility to notify any third party, including any third party providers of services, merchandise, or information, of any suspension, restriction, or termination of your access to frostcosmetics.wix.com/frostbeautybox. Indemnification of Us You expressly agree to indemnify and save us harmless from and against any liabilities, actions, proceedings, claims, causes of action, demands, debts, losses, damages, charges and costs, including reasonable legal costs, any amount paid to settle any action or to satisfy a judgment, and expenses of any kind and character whatsoever incurred by us relating to or arising from your Posted Content, including instances where your Posted Content (a) infringes any third party content, or other third-party intellectual property rights, or (b) is inappropriate, profane, defamatory, infringing, obscene, indecent, or unlawful. 

 

Electronic Communications By using frostcosmetics.wix.com/frostbeautybox or e-mailing us, you consent to receive electronic communications from us. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing. 

Ownership of Online Materials All of the Online Materials are intellectual property belonging to frostcosmetics.wix.com/frostbeautybox and our licensors. frostcosmetics.wix.com/frostbeautybox reserves all rights to the Online Materials. frostcosmetics.wix.com/frostbeautybox provides the online materials solely for your viewing purposes and to facilitate your personal access to our subscription services. All other uses including copying, re-publication or commercial uses are strictly prohibited. 

Security of Information The Online Materials depend on the Internet, including networks, cabling, equipment, and facilities that are not in frostcosmetics.wix.com/frostbeautybox's control, and may not be completely private, and your anonymity is not guaranteed.

Limits of Liability The parties expressly disclaim the application of the United Nations Convention on Contracts for the International Sale of Goods, or any adopting legislation with respect thereto, with respect to this Agreement. 

 

Membership Through frostcosmetics.wix.com/frostbeautybox, we offer access to monthly subscriptions (each a "Subscription"). Eligible users who purchase a Subscription (a Member) will receive products shipped through an authorizer carrier. Membership is void where prohibited by law, and we reserve the right to terminate your membership for any violation of this Agreement or our Privacy Policy. 

Monthly Subscription Contract between frostcosmetics.wix.com/frostbeautybox and You 

By purchasing a month to month subscription, you acknowledge that your subscription has an initial and recurring payment feature and you accept responsibility for all recurring charges prior to cancellation. Your subscription will be automatically extended for successive monthly periods, at the then-current subscription rate. To cancel your subscription at any time, log into your account and suspend your subscription. If you cancel, you may use your subscription until the end of your then-current subscription term. frostcosmetics.wix.com/frostbeautybox may submit periodic charges (e.g., monthly) without further authorization from you, until you provide prior notice that you have terminated this authorization or wish to change your payment method. Such notice will not affect charges submitted before frostcosmetics.wix.com/frostbeautybox reasonably could act. 

Purchase of Subscriptions 

Prior to purchasing a Subscription, you will be directed to a confirmation page which contains specific details of the Subscription you have chosen to purchase (the Subscription Details), and when you pay for a Subscription, we will electronically issue a receipt by e-mail for such purchase (the Subscription Confirmation Email). Upon confirming your Subscription, your payment method will be charged thereafter. Each of the Subscription Details and the Subscription Receipt are incorporated herein by reference and form integral parts hereof. 

Pricing of Subscriptions 

Excluding any Posted Content which may be submitted by you or other frostcosmetics.wix.com/frostbeautybox users from time to time, we strive to ensure that the information on frostcosmetics.wix.com/frostbeautybox is complete and reliable. Certain information may contain pricing errors, typographical errors, and other errors or inaccuracies which we may correct without liability. Subscriptions will be charged in American dollars. Taxes are applicable based on the State or Province in which you are located. 

Redemption of Subscriptions 

All products to be delivered as part of Subscriptions (the "Products" will be shipped at the indicated time set out in the Subscription Details. Once the Products have shipped in accordance with the Subscription Details, your Subscription is over unless your Subscription auto-renews. 

Cancellation of Subscriptions 

If you have subscribed for a monthly Subscription, you may cancel that Subscription at any time after the first month, but the cancellation will only apply to calendar months that have not yet commenced at the time of cancellation. For example, if you cancel your subscription on May 20th and you were billed on May 15th, you will still receive your June subscription as you had cancelled after your then-renewal date. 

Auto-Renewal of Subscriptions 

Certain Subscriptions, as indicated on the Subscription Details, will automatically renew once they are complete. At any time before the indicated auto-renewal date, you may cancel the renewal (or, as set out above, your Subscription). If your auto-renewal date passes, however, and you have not cancelled the renewal of your Subscription, a new Subscription will start (with the same details as the Subscription Details) in the subsequent month. For greater clarity, you would still be entitled to cancel a multi-month renewal Subscription after the first month of the renewal Subscription as set out above. THE LAWS OF YOUR JURISDICTION MAY GIVE YOU CANCELLATION RIGHTS IN RESPECT OF AUTOMATICALLY RENEWING CONTRACTS AND, IN SUCH CASE, THIS PROVISION WILL INSTEAD ONLY APPLY TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. 

For multiple month subscriptions (4 & 8 months), your subscription will be renewed after your then-current term expires. If you cancel your subscription, you will not be eligible for a prorated refund of any portion of the subscription fee paid for the then-current subscription period. We reserve the right to revoke your subscription at any time as a result of a violation of these Terms. 

Giveaway Products/Bonus Products Any giveaway or bonus products will be sent in the month following the month in which you were awarded the product. If you are for any reason to unsubscribe the following month, you will not be eligible for this bonus product 

Risk of Loss 

When we deliver the Products to the carrier, the risk of loss and title for Products is passed off to you. 

Shipment of Goods 

All goods will be delivered for shipment to Canada Post or USPS or another suitable carrier. 

Refunds, Returns, and Exchanges 

Due to the sensitivity & personal nature of the Products contained in the Subscription, we are not able to provide refunds. No refunds or exchanges for Products will be made, accepted or committed to. 

Terms and Conditions of Subscriptions 

Notwithstanding anything else set out herein: 
(a) there is no limit to how frequently Subscriptions may be purchased, though LipMonthly.com does reserve the right to limit quantities purchased by Members, 
(b) we are not responsible for lost or stolen Products or Subscription Receipts, nor are we obligated to replace such, 
(c) you are responsible for ensuring that your shipping address and contact information is accurate, 
(d) subscriptions are for personal use only and may not be sold or traded, and 
(e) the breach or attempted circumvention of any provisions of this Agreement will render the Subscription void to the extent permitted by applicable law. 

We reserve the right to revise, suspend, or terminate an event or promotion at any time without notice (including after an order has been submitted and/or acknowledged). We do not guarantee that all products described on the frostcosmetics.wix.com/frostbeautybox will be available. 

GENERAL TERMS 

Amendments 

frostcosmetics.wix.com/frostbeautybox reserves the right to amend this Agreement at any time without notice to you, but frostcosmetics.wix.com/frostbeautybox will use reasonable efforts to publish each amendment before such amendment becomes effective. We will ensure that the latest, fully-amended version of this Agreement is published on the frostcosmetics.wix.com/frostbeautybox. You are responsible for regularly reviewing frostcosmetics.wix.com/frostbeautybox to obtain timely notice of such amendments. If you continue to use Frost Cosmetics, LLC after the effective date of each amendment, you will be conclusively deemed to have accepted such amended version of this Agreement. 

Applicable Law 

By visiting and using frostcosmetics.wix.com/frostbeautybox, you agree that the laws of the Province of Ontario and the laws of Canada applicable therein, without reference to conflict of laws principles, will govern this Agreement. Each party hereby waives any right to jury trial in connection with any action or litigation in any way arising out of or related to this Agreement. Each party hereby irrevocably attorns to the exclusive jurisdiction of the courts in the City of Toronto, Ontario, Canada with respect to the resolution of any disputes hereunder. 

Severability 

If any condition forming part of the Agreement is considered or chosen to be invalid, void, or for any reason unenforceable, that condition will be considered severable and any remaining condition's validity and enforceability will not be affected. 

Interpretation 

Headings in this Agreement with you and www.frostcosmetics.wix.com/frostbeautybox are used for convenience and are not to be used as an interpretation guide for this Agreement. You acknowledge that your use of the Online Materials as permitted hereby is good and sufficient consideration for the rights, covenants, disclaimers and premises set out herein. 

Assignment and Inurement 

We may at any time assign our rights and obligations under this Agreement, in whole or in part, without notice to you. You may not assign this Agreement without frostcosmetics.wix.com/frostbeautybox' prior, written consent. This Agreement will inure to the benefit of and bind you and frostcosmetics.wix.com/frostbeautybox and its' respective personal and legal representatives, advisors, successors and permitted assigns. 

Entire Agreement 

This Agreement shown before you on www.frostcosmetics.wix.com/frostbeautybox, which is amended from time to time, including any and all documents, frostcosmetics.wix.com/frostbeautybox, rules, terms and policies referenced herein, including but not limited to the Privacy Policy, constitutes the entire agreement between frostcosmetics.wix.com/frostbeautybox and you with respect to the matters referred to in this Agreement and supersedes all prior and contemporaneous agreements and understandings, whether electronic, oral, or written, between us and you with respect to such matters.
